Terms of Service

Terms for using the StitchOne website and cloud ERP service. Please read carefully—using the service constitutes acceptance of these terms.

Introduction

These Terms of Service (“Terms”) govern access to and use of the stitchone.eu website and the StitchOne cloud ERP service (“Service”, “Platform”). By accepting them, you agree to abide by the Terms. If you are accepting on behalf of an organization, you confirm that you have the necessary authority and that your organization is bound by them.

This document provides a general framework. For specific legal questions (e.g., jurisdiction, DPA/SLA clauses), consult legal counsel and agree the details in the appropriate contractual documents.

Scope and definitions

Scope

  • Website: public pages, contact forms, demo requests.
  • ERP service (SaaS): accounts, roles, order/operation data, OCR images, barcode scans.
  • Applies to all users and customers of StitchOne.

Definitions

  • “Customer”: the organization that subscribed/contracted for the Service.
  • “User”: an individual with an account in the platform (employee/subcontractor of the Customer).
  • “Customer Content”: data/files entered or uploaded by the Customer/Users.

Registration and accounts

Creation and management

The Customer is responsible for creating and managing accounts, roles, and permissions (RBAC). You must maintain accurate contact details and update or deactivate accounts when team changes occur.

Access security

You must keep credentials (passwords/keys) confidential, use strong passwords, and notify us immediately if you suspect unauthorized access or a security incident.

Acceptable use

The Service must not be used for illegal purposes or in ways that infringe rights, security, or the normal operation of the system. Examples of prohibited actions:

  • Attempting to bypass security measures, intrusion, or vulnerability scanning.
  • Distribution of malware, spam, DDoS attacks, or unauthorized stress testing.
  • Infringement of intellectual property rights and confidentiality.
  • Sharing credentials/passwords or providing unauthorized access.
  • Systematic entry of sensitive categories of personal data in free-form fields/images.

Service (ERP), OCR and barcodes

Features

  • Management of orders, operations, inventory, and reporting.
  • Generation and scanning of barcode stickers.
  • OCR recognition of handwritten values from images.

Accuracy and control

  • Review/edit is available before final save.
  • OCR errors are possible; the Customer organizes verification and confirms the result.
  • Stickers and barcodes are part of production documentation and reporting.

Fees and payments

Subscription and invoicing

Pricing is subscription-based. Payments are made against issued invoices and within the stated deadline. All applicable taxes/fees are charged separately, where required by law.

Delays and suspension

In case of overdue payments, we may temporarily restrict access to the Service until payment is received. The Customer remains responsible for all accrued fees until termination as per the “Termination” section.

Trial period and early sign-up

Trial access

We may offer a trial period with limited functionality/volume. We reserve the right to terminate trial access at any time in case of violations of the Terms or at our discretion.

Early sign-up

Early sign-up campaigns may include preferential terms described in the specific offer/contract. After preferential terms expire, standard pricing applies.

Privacy and Data Processing Agreement (DPA)

Roles and compliance

For the website, StitchOne is the Controller. Within the ERP service, the Customer is typically the Controller and StitchOne the Processor. Processing is carried out in accordance with the Privacy Policy and the DPA.

Policies and documents

The Privacy Policy is available at /en/privacy. The DPA is provided/added to the contract upon request. The Customer must ensure that the entered data is lawful and that necessary legal bases/consents are in place.

Intellectual property and license

Platform rights

All rights to the Platform, software, and related materials belong to StitchOne or its licensors. You receive a non-exclusive, non-transferable license to use the Service within the subscription and its intended purpose.

Customer content

Ownership of Customer Content remains with the Customer. The Customer grants StitchOne a limited license to process such content to provide and improve the Service, in accordance with the contract and applicable law.

Availability, maintenance and support

Availability and maintenance

We strive for high availability and timely support. Planned/emergency maintenance may occur to improve functionality and security. An SLA may be agreed separately and supplement these Terms.

Changes to the service and terms

Updates

We may modify and improve the Service, including adding/removing features. In case of material changes to the Terms, we will publish an update on this page and, where appropriate, notify you via a suitable channel.

Termination

By you

You may terminate the subscription according to the agreed terms and timelines. We recommend exporting data beforehand where applicable.

By us

We may terminate or restrict access in case of material breach of the Terms, non-payment, or where required by law. Upon termination, we process data per the contract/Privacy Policy (deletion/return).

Liability and warranty disclaimer

  • The Service is provided “as is” and “as available”. To the maximum extent permitted by law, implied warranties are disclaimed.
  • We are not liable for indirect/consequential damages, lost profits, or data loss, unless required by law.
  • Our aggregate liability is limited to the fees you paid for the relevant subscription period, unless otherwise required by law.

Governing law and dispute resolution

Law and jurisdiction

These Terms are interpreted in accordance with applicable Bulgarian law and EU law, unless otherwise agreed in the contract. Disputes are resolved by the competent court based on the registered office/contractual clauses.

Amicable settlement

Before legal action, the parties will make reasonable efforts to settle disputes amicably through negotiation.
